Terms of Order

These Terms of Order (the "Order Terms" or "GTO") govern every individual Order placed by a User (the "Buyer") with Litway Motion sp. z o.o. (the "Operator") through the website bid2doors.com (the "Website"). They supplement the Terms of Service, the Privacy Policy, and the Claim Procedure.
1. General Provisions
- These Order Terms apply to every Order placed through the Website where the Buyer has not signed a separate written agreement with the Operator.
- If a separate written agreement exists, its provisions take precedence; matters not regulated by such agreement are governed by these Order Terms.
- Submission of an Order through the Website implies acceptance of these Order Terms.
2. Declarations
The Operator declares that:
- it is authorised to participate in vehicle auctions held by Auction Houses in the United States, although such authorisation may, in specific cases, exclude individual states (e.g. Alabama, Michigan, Wisconsin, Utah or Nevada);
- if it transpires during bidding that the Vehicle is offered in a state where the Operator is not licensed, the Operator may withdraw from the execution of the Order;
- all bank settlements arising from the Order (Service Fee, vehicle price, Auction House handling fees, freight, parking penalties etc.) are settled in USD unless the supporting documentation provides otherwise;
- the Auction House operates under its own terms and may cancel or re-list an auction at its discretion. The vehicle purchase becomes effective only upon successful, timely payment by the Buyer. Some auctions additionally require the seller's acceptance of the winning bid;
- the Operator has sufficient knowledge and experience to execute the Order.
The Buyer declares and acknowledges that they:
- hold a bank account from which they can issue international transfers in USD, with funds credited to a U.S.-based recipient within 24 hours of initiation;
- have chosen the Vehicle independently and at their own discretion, are aware of its description, technical condition and history, and accept the risks associated with the purchase of salvage, damaged or non-running vehicles;
- are aware that, in accordance with Article 38(11) of the Polish Act on Consumer Rights and Article 16(k) of EU Directive 2011/83/EU, the consumer right to withdraw from a distance contract does not apply to goods purchased at a public auction, and waive such right to the extent permitted by law;
- have the financial means to cover all costs related to the conclusion and execution of the Order, including the Service Fee, vehicle price, auction fees, freight, customs duties and taxes.
3. Nature of the Order — Indirect Representation
- The Order is an agreement of due diligence (umowa starannego działania). The Operator does not guarantee that the Buyer will obtain the specific result intended, in particular winning the auction.
- The Order is performed against payment of the Service Fee.
- The Order has the character of indirect representation. The Operator concludes contracts and performs factual acts in its own name but on behalf and for the account of the Buyer. The Buyer undertakes to bear all costs arising from such contracts and acts.
4. Conclusion of the Order Agreement
- The Order agreement is concluded on the Website by submitting an Order offer and receiving confirmation of its acceptance from the Operator (via e-mail and the Account).
- The Operator may withdraw from the execution of an Order if any of the following occurs:
- the technical condition of the Vehicle disclosed after Order acceptance and before the end of the live auction materially differs from what was disclosed initially (e.g. flooding, structural damage become evident);
- there is a high probability that the Vehicle cannot be registered in the Buyer's country and no contact with the Buyer can be established;
- the execution becomes objectively impossible or significantly hindered due to a short interval between Order submission and the end of the auction (in particular, Orders submitted between 11:00 PM and 8:00 AM Central European Time for auctions closing within a few hours);
- the Operator is not authorised to bid in the Vehicle's state of origin.
- The Operator will immediately inform the Buyer of any withdrawal, stating the reason.
5. Subject of the Order
By concluding the Order agreement, the Buyer instructs the Operator and the Operator accepts to perform:
- seeking to acquire the designated Vehicle through active participation in the auction held by the Auction House (preliminary and live bidding);
- assistance in arranging freight from the United States to a port of destination selected by the Buyer (without customs clearance at the destination port, unless the "Home Delivery" option is selected);
- where the Buyer selects the "Home Delivery" option — clearing the Vehicle through customs and arranging inland transport to the Buyer's address.
Detailed conditions of bidding, purchase, freight and delivery are determined by the Buyer through the Website at the time of Order submission.
6. Cooperation
- The Buyer's cooperation is necessary to perform the Order. The Buyer shall remain available by phone or e-mail during business hours to enable consultation on matters that may materially affect their interests.
- In the absence of cooperation — in particular if the Buyer cannot be reached — the Operator may withdraw from the Order if continued execution would be clearly disadvantageous to the Buyer.
- All communications are sent to the contact details registered on the Buyer's Account.
7. Service Fee and Payment
- The Operator charges a flat Service Fee of 500 USD per successful Order, unless a different amount is communicated in the Order summary or the price calculator displayed prior to Order submission.
- If the Buyer selects the "Home Delivery" option, the Service Fee is supplemented by the cost of inland transport and customs clearance, also displayed in the price calculator.
- The Service Fee becomes payable upon adjudication of the Vehicle by the Auction House (i.e. winning the live bidding).
- Payment of the Service Fee is made on the basis of an invoice issued by the Operator, payable within 7 calendar days of receipt.
- Immediately after winning the live bidding, the Operator forwards to the Buyer:
- the Auction House bank details for payment of the vehicle price and auction fees;
- the freight forwarder bank details for payment of transport costs.
- The Buyer must pay the Auction House within 48 hoursof bidding. The time of payment is the time the funds are credited to the recipient's account.
- All Order-related payments and their status are also visible on the Buyer's Account.
8. Customs Clearance
- The Operator delivers to the Buyer the documentation necessary for customs clearance at the destination port within 5 days of the Vehicle's arrival; in exceptional cases this period may extend to 14 days.
- Under the "Home Delivery" option, the Operator performs the customs clearance on behalf of the Buyer and arranges delivery to the address provided.
9. Disclaimer of Liability
The Operator is not responsible for:
- incorrect mileage readings, including adjustments or alterations;
- the actual technical condition of the Vehicle;
- the appearance and colour of the Vehicle;
- differences in technical requirements between the United States and the destination country (including lack of homologation);
- inability to register, repair or use the Vehicle in the destination country;
- consequences of incorrect data or figures provided by the Buyer for customs clearance;
- damage to the Vehicle occurring during transport to the port of shipping, loading, freight or unloading at the destination port;
- total loss of the Vehicle due to loss of cargo by the vessel;
- penalties imposed by Auction Houses, freight forwarders, customs agencies, port administration or shipowners as a result of late payment, non-payment or delays beyond the Operator's control. Such penalties are passed on to the Buyer.
10. Penalties
- In case of late payment to the Auction House, the Buyer is liable for a penalty of 2% of the vehicle's purchase price, charged by the Auction House.
- The Buyer accepts the risk of parking penalties for failure to collect the Vehicle on time at the Auction House yard or at the destination port, including penalties resulting from force majeure or port congestion.
11. Deposit
- The deposit paid by the User as a prerequisite for bidding constitutes a security for the performance of the Buyer's obligations under the Order.
- The deposit may not be used for any other purpose and is released after full performance of the Buyer's obligations.
- In case of non-payment or late payment of any Order-related amount, or of penalties imposed on the Buyer, the deposit may be forfeited.
- If the Operator suffers damage exceeding the deposit due to the Buyer's default, the Operator is entitled to claim full compensation under general rules of law.
12. Consumer Right of Withdrawal
- A Buyer who is a consumer within the meaning of Polish law may, in principle, withdraw from the Order within 14 days from its conclusion by sending a written declaration to the Operator's registered office or by e-mail to legal@bid2doors.com, stating the Order number and the VIN of the Vehicle.
- The right of withdrawal does not apply once the Operator has won the live bidding or otherwise given an effective binding instruction to purchase the Vehicle. This limitation is based on Article 38(11) of the Polish Act on Consumer Rights and Article 16(k) of EU Directive 2011/83/EU concerning purchases at public auctions.
- Upon valid withdrawal during the permitted period, the deposit and any other amounts paid by the Buyer are returned within 14 days, less any costs actually incurred by the Operator up to the moment of withdrawal.
13. Final Provisions
- These Order Terms come into force on 2026-05-16.
- The Order agreement is governed by Polish law. Matters not regulated herein are subject to the provisions of the Polish Civil Code, including those on commission and order agreements.
- For disputes with Buyers who are not consumers, the competent court is the court of local and material jurisdiction over the Operator's registered office. For consumers, the competent court is determined under generally applicable consumer-protection law.
